By scheduling, purchasing, or participating in any service or program offered by American Health & Safety LLC ("Provider"), the client ("Client") expressly agrees to be bound by these Terms and Conditions in full. These terms constitute a legally binding agreement between the Provider and the Client.

a. Scheduled services must be canceled no less than seventy-two (72) hours in advance to avoid incurring the full cost of the service.
b. Either party may cancel services without penalty if notice is given at least seventy-two (72) hours prior to the scheduled service.
c. Cancellations within 72 hours of the scheduled start time will be charged in full, unless otherwise agreed upon in writing or in cases of force majeure.
d. All cancellation notices must be submitted in writing via email to info@americanhealthandsafety.com. Verbal cancellations will not be accepted.
e. Repeated last-minute cancellations may result in suspension of service eligibility.

a. In the event a Provider consultant becomes unavailable due to illness, emergency, or unforeseen circumstance, Provider will make reasonable efforts to notify the Client promptly and reschedule at no additional charge.
b. If rescheduling is not feasible, the Client will be entitled to a full refund for the missed service. This constitutes the sole remedy available to the Client for consultant unavailability.

All intellectual property and related materials (the “Intellectual Property”) that is developed or produced under this Agreement will be the property of American Health & Safety LLC, excluding any Client material that relates to trade secrets, proprietary information, or sensitive content. The use or disbursement of the Intellectual Property by the Client will not be restricted in any manner.
 

This specifically includes, but is not limited to, photography, video footage, and audio recordings captured during services. American Health & Safety LLC retains full ownership and rights to use, reproduce, publish, or distribute this content for lawful purposes. The Client is granted a non-exclusive, royalty-free license to use the media for internal purposes, such as training, documentation, or internal communications. Any public or commercial use by the Client requires prior written consent.

a. Quoted Project Services: For services quoted in writing (e.g., proposals, service agreements), pricing is flat-rate and based on defined deliverables, not time spent. Time spent on-site or off-site does not affect the agreed price.
b. Technical Services and Consulting: Technical Services and Consulting will be billed at a rate of $150 per hour, with a minimum half-day charge of $600 (4 hours), unless otherwise specified in writing. This rate applies specifically to any services requested outside the scope of a formal quote, proposal, or Statement of Work (SoW).
c. On-site or travel-based services are subject to the minimum half-day charge. These charges are separate from quoted project pricing and apply when the Client requests additional tasks, expedited work, troubleshooting, or consulting beyond the original agreement.
d. All payments are due within thirty (30) days of the invoice date. Late payments may incur interest at the maximum rate permitted by law.
e. Unpaid invoices beyond thirty (30) days may result in service suspension, and unpaid balances over sixty (60) days may be referred to collections.
f. The Client agrees to pay all reasonable attorney’s fees, court costs, and collection agency fees incurred by Provider in recovery of past-due amounts.

Provider shall not be held liable for any indirect, incidental, punitive, or consequential damages arising from use of services, training, or materials.
In all cases, the maximum liability of American Health & Safety LLC shall not exceed the total amount paid by Client for the specific service giving rise to the claim.

All sales are final. No refunds shall be provided for services rendered, products delivered, or completed training—except as explicitly stated in Section 3 (Consultant Unavailability).
No-shows or failure to meet pre-scheduled commitments will not be eligible for rescheduling or refund.

Client agrees to provide a safe and cooperative environment during on-site services. American Health & Safety LLC reserves the right to terminate services immediately in the event of unsafe conditions, harassment, or failure to meet pre-agreed support requirements.
Any termination under this clause is considered billable in full.

This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict-of-law rules.
Any legal action shall be brought in the appropriate courts located within South Carolina.
